These Terms of Use (“Terms”) govern your access to and use of the NestOrder application and related services (“Services”). By creating an account or using NestOrder, you agree to these Terms. If you do not agree, do not use the Services.
1. The service
NestOrder is a technology platform that connects customers with independent neighbourhood stores (grocery, medical / pharmacy, bakery, hardware, electricals, restaurant, and similar). Stores prepare and hand over orders for delivery or pickup. NestOrder provides ordering and store-management software.
Unless we clearly state otherwise, NestOrder is a platform intermediary: the store is responsible for product quality, pricing accuracy, stock, packaging, labelling, and delivery or pickup performance. NestOrder does not manufacture or own the goods sold by stores.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract under Indian law.
- Provide accurate phone and (for customers) delivery or pickup details.
- You are responsible for account activity and for keeping OTP / device access secure.
- Shopkeeper accounts may only be used by people authorised to operate that store.
- Store owners may invite staff; the owner is responsible for invites, removing access, and staff compliance with these Terms and privacy law.
- We may require store approval before a shop is visible to customers.
3. Shopkeeper subscriptions
Store accounts may start with a free trial and later require a paid plan. Until online billing is enabled, plan selection may require offline payment confirmation as described in the App. Customers do not pay NestOrder a subscription to place orders.
4. Orders, fulfilment, and payment
- Orders are placed with the selected store (delivery or pickup, as offered).
- Unless online payment is clearly offered at checkout, payment is cash on delivery / pay on handover (or as agreed with the store).
- The store may remove unavailable items from an open order (updated total) or cancel an open order (for example if nothing can be fulfilled), and should notify you through the App where practical.
- We or the store may refuse or cancel orders for unavailability, suspected fraud, address issues, or operational reasons.
5. Store credit / khata
Some stores may keep a payment-on-account (khata) ledger with a customer. Khata balances are records between the customer and that store. NestOrder provides software to display and update those records; NestOrder is not the lender or creditor unless we expressly say otherwise. Raise ledger disputes with the store promptly, or contact privacy@nestorder.in for App help.
6. Cancellation
Customers may cancel in the App while an order is New or Scheduled. After packing starts or the order is out for delivery / waiting for pickup / delivered, contact the store or privacy@nestorder.in. Stores may cancel open orders with a reason. Abusive or fraudulent cancellations may lead to limits or suspension.
7. Missing, wrong, or incomplete items
After delivery / pickup is marked complete, customers may report missing items in the App. Reports go to the fulfilling store for resolution. NestOrder does not itself guarantee replacement or refunds; the store remains responsible for fulfilment quality, subject to applicable consumer law (including the Consumer Protection Act, 2019).
8. Delivery and pickup
Customers must confirm a valid address (or follow pickup instructions) before ordering. Times and slots are estimates. Risk in goods typically passes on delivery or pickup handover by the store, subject to applicable consumer law.
9. Coupons, invites, and sharing
Coupons are subject to stated conditions and may be withdrawn if misused. Stores may share invite codes or QR links; scanning uses the camera with your permission. If a store forwards customer or order details outside the App, the store is responsible for that sharing.
10. Acceptable use
You agree not to misuse the Services, including unauthorised access, scraping, interfering with other users, placing fraudulent orders, or misusing staff access, khata records, or customer data. Shopkeepers must handle customer personal data lawfully and only for fulfilling and supporting orders.
11. Intellectual property
App content, branding, logos, and software are owned by NestOrder or its licensors. You may not copy, modify, or reverse engineer the App except as allowed by applicable law.
12. Disclaimers & liability
Services are provided “as is” and “as available”. To the fullest extent permitted by law, NestOrder’s total liability for claims arising from the Services is limited to (a) the amount you paid through NestOrder for the specific order giving rise to the claim, or (b) INR 1,000 if no online payment was collected by NestOrder for that order. Nothing in these Terms limits rights that cannot be excluded under applicable consumer protection law, or liability that cannot be excluded by law.
13. Shopkeeper responsibilities
Shopkeepers agree to handle complaints in good faith, keep store information reasonably accurate, comply with applicable trade, labelling, food / drug, and local regulations for goods they sell, and supervise invited staff.
14. Suspension and termination
We may suspend or terminate access for breach of these Terms, failed approval or subscription rules, misuse of customer data, or risk to users or the platform. You may stop using the App and, where available, delete your account as described in the Privacy Policy.
15. Changes
We may update these Terms and revise the “Last updated” date. Continued use after changes means you accept the updated Terms, except where mandatory law requires a different process.
16. Governing law
These Terms are governed by the laws of India. Subject to applicable consumer protections, courts in Gurgaon, Haryana shall have exclusive jurisdiction over disputes arising from these Terms or the Services.
